Platform Tools (Subscription and E-commerce Services): For Subscription Website Services and E-commerce Platform Services, we provide website and platform tools. Done-For-You Website Services are a separate offering with their own terms as described above and in Section 9.
3Account Registration and Responsibilities
Eligibility: Our Services are designed for business use. You must be at least 18 years old and have legal authority to enter into this Agreement on behalf of yourself or your business.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hellomirin.com of any unauthorized use.
Accurate Information: You agree to provide accurate, current, and complete information during registration and subscription, and to update such information as necessary through your account dashboard.
Professional Licensing and Compliance: You are solely responsible for:
- Obtaining and maintaining all necessary business licenses, permits, and professional certifications required for your trade or business
- Ensuring your business practices comply with all applicable federal, state, and local laws and regulations
- Maintaining appropriate business insurance, including general liability and professional liability insurance
- Complying with consumer protection, privacy, and advertising laws in your jurisdiction
- Configuring and maintaining the notices, consent choices, and disclosures required for cookies, analytics, tracking, and third-party services used on your website
- Ensuring all information on your website is accurate, truthful, and not misleading
Lead Data Handling: Lead data collected through your website forms is stored in our database and accessible through your dashboard. You are responsible for complying with all applicable privacy laws regarding your use of this data and for any communications you send to leads.
Analytics, Cookies, and Third-Party Services: If you enable or connect Google Analytics or another analytics, tracking, advertising, or third-party service for your website, you are responsible for determining whether and how that service may be used, providing any required notices and choices, obtaining and recording any required consents, configuring the service lawfully, and complying with the applicable third party's terms and privacy documentation. Mirin's consent-related features are technical controls and do not constitute legal advice or a representation, warranty, or guarantee that your website or use of any third-party service complies with applicable law. As between you and Mirin, you are responsible for the privacy, cookie, tracking, and disclosure practices for your website, except to the extent non-waivable law provides otherwise.
4Payment Terms
Subscription Website Services (Plans)
Month-to-Month Subscription: All Plan subscriptions are month-to-month with no minimum term. There is no fixed-length commitment. Your subscription continues from one Billing Period to the next until you cancel as described in Section 10.
When Billing Begins: The Scorecard and Preview are free. Plan billing begins only after you approve the Preview, choose to keep the website, and complete checkout. Plan fees are billed monthly in advance through Stripe at the start of each Billing Period. By subscribing, you authorize automatic recurring charges to your payment method on file for each Billing Period until you cancel.
Rate Lock: Your monthly Plan fee is locked at the rate at which you subscribed for as long as your subscription remains continuously active. Price changes apply to new or restarted subscriptions, not an active subscription.
Auto-Renewal: Your subscription automatically renews on a month-to-month basis at your locked Plan rate at the start of each Billing Period, until you cancel as described in Section 10. You may cancel at any time, effective at the end of your current Billing Period, with no early-termination fee.
Payment Processing: All payments are processed securely through Stripe. We do not store your complete payment card information.
Failed Payments: If a Plan payment fails, a three-day grace period begins at the time of the failed payment event. Your website remains live during that grace period. If payment is not successfully resolved by the end of the grace period, we will deactivate publication of the website until payment is resolved. A verified successful payment restores publication promptly unless the website is also subject to an effective cancellation, manual suspension, or another restriction under these Terms. This is a service suspension, not deletion or cancellation. Your account and data are retained under Section 10. We may retry payment and reserve the right to pursue collection of amounts that came due for a Billing Period during which the Service was provided.
No Refunds: Plan Fees are non-refundable. We do not provide refunds or credits for partial months of service, except in our sole discretion for extraordinary circumstances. Additional Services fees are likewise non-refundable once the work has been performed, except where the work was not delivered as agreed.
Preview
Free Build: The Preview is free. We do not require a credit card, sales call, contract, or Plan subscription before you receive and review it.
No Obligation to Subscribe: The Preview does not commit you to a Plan subscription. If the direction misses, you may ask us to revise it. If you decide not to proceed, you owe nothing.
Referral Credits
Eligibility: Referral credits are available only to active paying full-service Plan customers in good standing, unless we approve another arrangement in writing. Agencies, consultants, and other promotional partners are not included in this customer referral program.
Referred Customer Credit: When a referred customer subscribes to an eligible full-service Plan through a valid referral link, we may apply a one-time credit toward that customer's first Plan invoice.
Referrer Credit: Referrer credits are not earned immediately. A referral reward may become eligible only after the referred customer has remained active and paid the required invoices under the referral program rules then in effect. We may review, approve, deny, void, reverse, revoke, or delay a referral credit if the referred customer refunds, disputes, cancels, fails payment, violates these Terms, or appears to be an invalid or self-referral.
Credit Application: Referral credits are account credits only. They are not cash, are not transferable, and have no cash value. We may apply referral credits over multiple Billing Periods and may limit how much credit applies to any single invoice.
Disclosure: If you share or promote a referral link in a public post, review, article, newsletter, social media post, paid placement, or other endorsement, you must clearly disclose that you may receive account credit if someone signs up through your link. You are responsible for making truthful statements about Mirin and for complying with applicable advertising and endorsement laws.
Program Changes and Abuse: We may change, pause, suspend, or end the referral program at any time, with or without notice. We may also deny, revoke, void, reverse, or claw back credits for abuse, spam, paid advertising that violates our rules, coupon-site promotion, trademark bidding, duplicate accounts, attempts to manipulate attribution, or other conduct that we determine is inconsistent with the purpose of the program. Ending or changing the referral program does not require us to continue offering new credits or to keep any prior program terms available for future referrals.
Additional Services
Separate Billing: Plan Fees do not include Additional Services. Charges for approved Additional Services are billed separately to the payment method on file.
Deposit for Larger Engagements: For Additional Services with a total estimated cost of five hundred US dollars ($500) or more, a fifty percent (50%) deposit is due upon your written approval of the Estimate and the balance is due upon delivery. For Additional Services under five hundred US dollars ($500), full payment is due upon delivery.
Non-Refundable Once Performed: Additional Services fees are non-refundable once the work has been performed, except where the work was not delivered as agreed.
Pricing Modifications
We may modify Plan Fees, the À La Carte Menu, the Hourly Rate, and other fees from time to time. The price displayed to you at checkout at the time you approve a Plan or Additional Services is the binding price for that order. Price modifications apply only to new orders placed after the modification. They do not change pricing for orders already accepted or for active Plan subscriptions, which remain governed by the Rate Lock subsection above.
E-commerce Platform Services (Revenue-Share Clients)
Revenue Sharing: For revenue-share clients, fees are calculated as a percentage of gross transaction volume as specified in your Service Agreement and are due monthly.
Payment Processing: Revenue-share clients are responsible for establishing and maintaining direct relationships with payment processors. We do not process customer payments on your behalf.
Late Payments: Overdue amounts may incur a late fee of 1.5% per month (or the maximum allowed by law, if less). We may suspend Services for accounts more than 30 days overdue.
Sales Tax
Connecticut Sales Tax: For customers with a Connecticut billing address, applicable Connecticut sales tax (currently 6.35%) will be added to all fees as required by Connecticut law.
Other Jurisdictions: We may collect sales tax, use tax, VAT, or other applicable taxes in other jurisdictions as required by law.
5Intellectual Property Rights
Our IP: We retain all rights, title, and interest in and to the Platform, Services, and our proprietary technology, including all code, software, templates, and infrastructure. No license or rights are granted to you except as expressly set forth herein.
Your Business Content: You retain full ownership of your business content, including business information, photos, descriptions, and any other materials you provide for your website. You grant us a limited, non-exclusive license to host, display, and use your content solely to provide the Services to you.
Done-For-You Website License: For Done-For-You Website Services, you receive a license to use your website during your active Plan subscription. You retain ownership of your business content (text, images, descriptions, and branding elements you provide) at all times. The custom design, layout, and code we create remains our intellectual property and is licensed to you for use only during your active subscription. You acknowledge and agree that:
- The website code and components are designed to function within the Mirin Platform and may not function outside of our system
- We retain ownership of all design, layouts, code, frameworks, templates, reusable design patterns, and technical infrastructure
- We may reuse non-customer-specific design patterns, code structures, layouts, and methodologies in future projects for other customers
- Your business content (text, images, logo, photos, descriptions) remains your property at all times and may be exported by you for use elsewhere
- Upon cancellation or non-renewal, your license to the custom design and code ends, but your business content remains yours
Portfolio Rights: You grant us the right to display your completed website in our portfolio, marketing materials, and case studies. We may identify you as a customer unless you notify us in writing that you prefer to remain anonymous.
Custom Components: You retain ownership of your business content within Custom Components you upload. However, you grant us a perpetual, irrevocable, worldwide license to use, modify, and distribute the code and functional aspects of any Custom Components. We may make the code/functionality available to other customers or incorporate it into our Services, but we will not share your specific business content (text, images, branding).
Feedback: Any suggestions, feedback, or improvements you provide regarding our Services may be used by us without compensation or attribution.
Third-Party Content: You are responsible for ensuring you have the right to use any third-party content (stock photos, fonts, etc.) included on your website and that such use does not infringe on any third-party intellectual property rights.
6Customer-Uploaded Code and Third-Party Integrations
IMPORTANT: You are solely responsible for all code, components, scripts, and third-party integrations you upload to or integrate with our Platform.
No Code Review: We do not review, audit, validate, or scan customer-uploaded code for security vulnerabilities, malware, or compliance with any standards. Custom Components are uploaded and executed at your own risk.
Third-Party Services: If you integrate third-party services (such as analytics tools, tracking pixels, payment processors, or other APIs) into your website through Custom Components, you are responsible for:
- Compliance with those third parties' terms of service and privacy policies
- Ensuring any data sharing complies with applicable privacy laws
- Disclosing such integrations to your website visitors as required by law
- Any fees, liabilities, or obligations arising from those integrations
Prohibited Code: You may not upload code that:
- Contains malware, viruses, or other malicious software
- Attempts to access our systems or other customers' data
- Mines cryptocurrency or performs unauthorized computations
- Violates any applicable law or third-party rights
- Could harm our infrastructure, other customers, or website visitors
Removal Rights: We reserve the right to remove any Custom Components that we reasonably believe violate these Terms or pose a security risk, without prior notice.
7Prohibited Uses
You may not use our Services to:
- Violate any applicable law or regulation
- Infringe upon or violate the intellectual property or privacy rights of others
- Transmit malicious code, viruses, or other harmful materials
- Attempt to gain unauthorized access to our systems or other user accounts
- Interfere with or disrupt our Services or servers
- Use our Services for any fraudulent or deceptive purpose
- Resell our Services without our written consent
- Reverse engineer, decompile, or disassemble our Platform
- Collect or harvest personal data without appropriate consent
- Send spam or unsolicited communications using lead data
8Hosting and Custom Domains
Subscription Activation: Upon subscribing, your website will be activated on a mymirin.com subdomain of your choice (subject to availability). You will gain access to your account dashboard to manage your subscription and domain settings.
Custom Domain Connection: You may connect a custom domain to your website at no additional charge. You are responsible for:
- Purchasing and maintaining registration of your custom domain through a domain registrar
- Configuring DNS settings to point your domain to our servers (documentation provided)
- Ensuring your domain remains active and renewed
Website Hosting: Your subscription includes hosting on our shared infrastructure. We do not guarantee specific bandwidth, storage limits, or uptime SLAs for subscription websites. We reserve the right to impose reasonable usage limits to maintain service quality for all customers.
9Service Delivery and Subscription
This section applies to Done-For-You Website Services.
Preview
Request Process: To start, you provide information about your business through our Scorecard or free homepage request. Both entry paths lead to the same free custom homepage build.
No Pre-Approval Charge: We do not require a credit card, sales call, contract, or Plan subscription before you receive and review the Preview.
Preview Outcome: After receiving your Preview, you may ask for a revision, approve it and subscribe to a Plan, or decline to proceed. If you decline, you owe nothing and no Plan begins.
Plan Subscription
Subscription Initiation: To keep the website, you approve the Preview and complete checkout for Solo or Team. Your Plan begins at that point. It is month-to-month with no minimum term and is billed monthly in advance as described in Section 4.
Solo: Solo is $199 per month for one person at one location. It includes:
- Up to 10 pages, built for your business
- Mobile-ready, fast, accessible by default
- Contact form + lead capture
- SEO setup and analytics
- Cloud hosting on your custom domain
- Edit in the page builder, email support
Team: Team starts at $349 per month for two or more people or more than one location. It includes:
- Everything in Solo
- A page for every person and every service
- New pages and sections as the business grows
- Front of the queue on every request
- Priority support, 24-hour response
Plan Fit: The size of your business determines the Plan. If your business sits on the line between Solo and Team, we will tell you which Plan applies before you decide whether to subscribe. The free build is the same either way.
Build Phase
Site Build: Following Plan subscription, we build the full website within the scope of Solo or Team based on the approved Preview and the business information you provide.
Scope Confirmation: Any work beyond the published Plan inclusions requires a written Estimate and your approval before the work begins.
Plan Upgrades and Downgrades
Changes in Business Size: If your business changes from one person at one location to two or more people or multiple locations, contact us so we can confirm whether Team applies. Any change to your Plan or price requires our written confirmation. A Plan change does not create a fixed-length commitment.
Ongoing Service and Additional Services
Self-Serve Edits (Included): Your Plan Fee includes unrestricted access to the Mirin page builder, which you may use to edit copy, swap images, update business information, reorder sections, and make other content changes to your published site at any time. These self-serve edits are not subject to Additional Services fees.
À La Carte Work: Work not included in your current Plan, including new custom-designed pages, custom section design, third-party integration setup, custom form logic, theme or style refreshes, full homepage redesigns, domain migrations, and photo direction, is available at the prices published on the À La Carte Menu at mirin.com/pricing. You may request À La Carte work at any time during your Plan. Each request is performed only after you have approved the Estimate.
Hourly Work: Requests that do not fit the À La Carte Menu may be performed at the Hourly Rate, billed in one-hour minimum increments with thirty (30) minute increments thereafter. Hourly Work is performed only after you have approved the Estimate, which includes a not-to-exceed hour cap. Work performed beyond the approved cap requires a fresh Estimate and your fresh approval.
Estimate-First Rule: No Additional Services work begins until you have approved the Estimate in writing (email reply or in-product confirmation both qualify). Estimates expire automatically fourteen (14) days after issuance if not approved. Expired Estimates may be re-issued on request, subject to current pricing.
Right to Decline: We may decline any request for Additional Services that falls outside our standard scope, exceeds our current capacity, or that we determine in good faith we cannot deliver to our quality standard. In such cases we will provide a referral where reasonably possible.
Team Priority: Team includes a page for every person and service, new pages and sections as the business grows, front-of-queue treatment for requests, and priority support with a 24-hour response.
What Is Not Included: Brand strategy, logo design, photography production, video production, copywriting beyond what is included in the original Plan or an approved À La Carte item, and ongoing marketing services are not part of our Additional Services offering. We will refer such requests to specialist providers where reasonably possible.
10Cancellation and Data Retention
Cancellation by You: Your Plan subscription is month-to-month with no minimum term. You may cancel at any time through your account dashboard, with no early-termination fee. Cancellation is effective at the end of your current Billing Period, and you will not be charged for any Billing Period that begins after your cancellation takes effect. You can cancel through the same online dashboard you used to subscribe, and cancellation requires no more steps than signing up did. We do not require you to call, chat, or speak with anyone to cancel.
No Refunds for the Current Billing Period: Because Plan Fees are billed monthly in advance and are non-refundable as described in Section 4, canceling part-way through a Billing Period does not entitle you to a refund of that month's Plan Fee. Your website and account remain active through the end of the Billing Period you have already paid for.
Restarting after cancellation: If your subscription has fully ended, any restart creates a new subscription. A restart is subject to a Plan that is currently available, its current price, a new payment authorization, and the Terms in effect when you restart. We do not guarantee your historic rate, agreement, or Plan availability. We also do not guarantee that a prior site, account configuration, or data can be restored.
Preview: The Preview is free. There is no payment or ongoing subscription to cancel for the Preview itself.
Effect of Cancellation:
- Your website (subdomain and custom domain) will be deactivated at the end of your billing period
- The first 90 days after cancellation are a reactivation period during which you may request a new subscription under the current available offer. Restoration remains subject to the restart terms above
- After the 90-day reactivation period, we will retain your account and data unless you explicitly request deletion, subject to applicable legal or operational retention requirements
Data Deletion Requests: We do not automatically delete customer data after cancellation or after the 90-day reactivation period. You may explicitly request deletion of your account and data. We will process a valid request subject to applicable legal, security, fraud-prevention, backup, and operational retention requirements.
Payment Failure: A failed Plan payment starts a three-day grace period at the time of the failed payment event. The website remains live during the grace period. If payment is not successfully resolved by the end of the third day, we deactivate publication until verified payment is received. Payment recovery restores publication promptly unless an effective cancellation, manual suspension, or another restriction independently applies. Payment suspension does not delete the website, account, or customer data. The 90-day reactivation period applies to cancellation, not to payment suspension, and data remains subject to the retention and deletion-request terms above.
Termination by Us: We may terminate this Agreement immediately for material breach, non-payment, or violation of these Terms. We may also terminate with 30 days' notice without cause.
