Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Trekeffect Incorporated doing business as Mirin ("Company," "we," "us," or "our"), regarding your use of our platform services.
BY ACCESSING OR USING OUR SERVICES, VIEWING DEMO WEBSITES, OR SUBSCRIBING TO OUR PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE OUR SERVICES.
1Definitions
"Services" means our platform services, including: (a) Subscription Website Services for professionals hosted on mymirin.com; (b) E-commerce Platform Services with revenue-sharing arrangements; (c) Preview services; and (d) Done-For-You Website Services.
"Platform" means our proprietary software system accessible at mirin.com, mymirin.com, and related subdomains.
"Preview" means our preview service in which we design a custom homepage for your business and deliver it to you by email within 24 hours of order. The Preview Fee is refundable under the Preview Satisfaction Guarantee and Delivery SLA set out in Section 9 (Service Delivery). If you subscribe to a Plan after receiving your Preview, the Preview Fee credits toward your first month's Plan Fee. The Preview does not by itself commit you to a Plan or any further fees.
"Preview Fee" means the price for the Preview service as displayed at checkout at the time of your order.
"Plan" means a Subscription Website Services plan offered by us, currently including the Professional plan and the Premium plan. Plan features and current pricing are described at mirin.com/pricing.
"Plan Fee" means the monthly price for your Plan as displayed at checkout at the time of your order, locked under the Rate Lock subsection of Section 4 for the duration of your Initial Term.
"Subscription Services" means professionally designed websites built and operated by us, hosted on mymirin.com or your custom domain, billed monthly through Stripe, and subject to a 12-month Initial Term as described in Section 4.
"Initial Term" means the 12-month minimum commitment that begins on the first day of your Plan subscription and continues for 12 consecutive monthly billing cycles.
"Additional Services" means any work performed by us for a customer outside the scope of their original Plan, including design work, technical setup, custom integrations, and other professional services. Additional Services are categorized into the À La Carte Menu (pre-priced flat-rate items) and Hourly Work (custom requests billed at the Hourly Rate), each described in Section 9.
"À La Carte Menu" means our published, pre-priced flat-rate menu of common Additional Services, available at mirin.com/pricing. The À La Carte Menu may be updated from time to time; prices applicable to a given engagement are fixed at the time of your written approval.
"Hourly Rate" means our published per-hour rate for custom Additional Services that do not fit the À La Carte Menu, available at mirin.com/pricing. The Hourly Rate may be updated with thirty (30) days' notice; the rate applicable to a given engagement is fixed at the time of your written approval.
"Estimate" means a written summary of proposed Additional Services, including scope, fixed price (for À La Carte) or hour estimate at the Hourly Rate (for Hourly Work), and expected delivery window, provided by us prior to commencing the work.
"Done-For-You Website Services" means our combined service offering of a Preview followed by a Plan subscription. This is our standard professional website design and ongoing service offering. References to "Done-For-You Website Services" in these Terms refer to this combined offering.
"Deliverable" means the completed website we produce for you under a Plan, hosted on our Platform.
"Customer Data" means all data, content, and materials you upload, submit, or create using our Services, including business information, website content, and lead capture data.
"Custom Components" means any code, templates, scripts, third-party integrations, or functionality you upload to or integrate with our Platform.
"Lead Data" means contact information and inquiries submitted by visitors through lead capture forms on your website, which is stored in our database and accessible through your dashboard.
"Agreement" means these Terms together with any Order Forms, Service Agreements, or other documents incorporated by reference.
2Service Description
Subscription Website Services
For professionals, we provide:
- Pre-built, professional websites hosted on mymirin.com subdomains
- Custom domain connection and DNS routing support (customer manages DNS settings)
- Lead capture forms with data stored in your dashboard
- Subscription management dashboard for domain and billing settings
- Monthly or annual subscription billing through Stripe
E-commerce Platform Services (Revenue-Share Clients)
For select e-commerce clients, we provide:
- Full-featured online stores with component-based customization
- Product catalog management with collections and metafields
- Order processing through third-party payment providers
- Email marketing campaigns and automated sequences
- Analytics and business intelligence tools
Done-For-You Website Services
For clients who want a professionally designed and built website, we provide:
- A Preview of your homepage delivered by email within 24 hours of order, for a one-time Preview Fee
- If you proceed to a Plan, full website design and development delivered within 3 business days of preview approval (more complex builds may take up to 10 business days)
- Up to three (3) rounds of revisions during the build phase to refine your site
- Hosting, custom domain support, SSL, analytics, lead capture, and unlimited self-serve edits via the Mirin page builder, included in your monthly Plan Fee
- Additional Services for design or technical work outside the page builder, available under the À La Carte Menu or at the Hourly Rate as described in Section 9
- Plan subscriptions are subject to a 12-month Initial Term commitment
Note: Done-For-You Website Services are professional website design and ongoing service offerings. The Preview, Plan subscription terms, and Initial Term commitment are detailed in Section 9 (Service Delivery and Subscription).
Service Availability: We will use commercially reasonable efforts to maintain Service availability, but do not guarantee uninterrupted access. Scheduled maintenance will be performed during low-usage periods when possible.
Platform Tools (Subscription and E-commerce Services): For Subscription Website Services and E-commerce Platform Services, we provide website and platform tools. For these self-service offerings, we are NOT providing professional design services, consulting, or advice related to your business operations, licensing, or professional practices. Done-For-You Website Services are a separate offering with their own terms as described above and in Section 9.
3Account Registration and Responsibilities
Eligibility: Our Services are designed for business use. You must be at least 18 years old and have legal authority to enter into this Agreement on behalf of yourself or your business.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@mirin.com of any unauthorized use.
Accurate Information: You agree to provide accurate, current, and complete information during registration and subscription, and to update such information as necessary through your account dashboard.
Professional Licensing and Compliance: You are solely responsible for:
- Obtaining and maintaining all necessary business licenses, permits, and professional certifications required for your trade or business
- Ensuring your business practices comply with all applicable federal, state, and local laws and regulations
- Maintaining appropriate business insurance, including general liability and professional liability insurance
- Complying with consumer protection, privacy, and advertising laws in your jurisdiction
- Ensuring all information on your website is accurate, truthful, and not misleading
Lead Data Handling: Lead data collected through your website forms is stored in our database and accessible through your dashboard. You are responsible for complying with all applicable privacy laws regarding your use of this data and for any communications you send to leads.
4Payment Terms
Subscription Website Services (Plans)
12-Month Initial Term: All Plan subscriptions require a 12-month Initial Term commitment. By subscribing, you commit to pay 12 monthly installments of your Plan fee. The Initial Term is binding and is a material term of your subscription.
Plan Fees: Plan fees are billed monthly in advance through Stripe at the start of each billing cycle. By subscribing, you authorize automatic recurring charges to your payment method on file for the duration of the Initial Term and any renewal terms.
Preview Credit: If you paid the Preview Fee before subscribing, that amount is credited toward your first month's Plan Fee.
Rate Lock During Initial Term: Your monthly Plan fee is locked at the rate at which you subscribed for the entire duration of your 12-month Initial Term. We will not raise your Plan fee during your Initial Term.
Auto-Renewal: At the end of your 12-month Initial Term, your subscription will automatically continue on a month-to-month basis at the then-current Plan rate, until you cancel as described in Section 10. We will provide at least 30 days' written notice before any rate change.
Payment Processing: All payments are processed securely through Stripe. We do not store your complete payment card information.
Failed Payments: If a Plan payment fails, your website will be immediately unpublished and become inaccessible to visitors until payment is successfully processed. Your account, content, and configuration will be preserved during this period. A failed payment does not release you from your Initial Term commitment, and we reserve the right to pursue collection of unpaid amounts.
No Refunds: Plan Fees are non-refundable. We do not provide refunds or credits for partial months of service, including for periods during which your website is unpublished due to failed payment, except in our sole discretion for extraordinary circumstances. Additional Services fees are likewise non-refundable once the work has been performed, except where the work was not delivered as agreed.
Preview
One-Time Fee: Payment of the Preview Fee is required to order a Preview. By purchasing, you authorize us to charge your payment method for this one-time fee.
No Obligation to Subscribe: The Preview does not commit you to a Plan subscription. You are free to receive your preview and decide not to proceed.
Credit on Subscription: If you subscribe to a Plan after receiving your Preview, the Preview Fee is credited toward your first month's Plan Fee.
Delivery SLA: We will deliver your Preview within 24 hours of receiving your completed intake. If we fail to deliver your Preview within three (3) business days of receiving your completed intake, you may request a full refund of the amount you paid by emailing hello@mirin.com. Approved refunds are processed within 5 to 10 business days.
Satisfaction Guarantee: If you are not satisfied with your delivered Preview, we will, at your election, revise it at no additional charge or refund in full the amount you paid. To request a revision or refund under this guarantee, email hello@mirin.com. No questions, no hoops. Approved refunds are processed within 5 to 10 business days. The Preview design is yours to keep whether or not you request a refund. This guarantee, together with the Delivery SLA above, is the full statement of when your payment is refundable; we do not otherwise refund it (for example, after the credit has been applied to a Plan).
Additional Services
Separate Billing: Plan Fees do not include Additional Services. Charges for approved Additional Services are billed separately to the payment method on file.
Deposit for Larger Engagements: For Additional Services with a total estimated cost of five hundred US dollars ($500) or more, a fifty percent (50%) deposit is due upon your written approval of the Estimate and the balance is due upon delivery. For Additional Services under five hundred US dollars ($500), full payment is due upon delivery.
Non-Refundable Once Performed: Additional Services fees are non-refundable once the work has been performed, except where the work was not delivered as agreed.
Pricing Modifications
We may modify the Preview Fee, Plan Fees, the À La Carte Menu, the Hourly Rate, and other fees from time to time, including running price tests in which different customers may be offered different prices. The price displayed to you at checkout at the time of your order is the binding price for that order. Price modifications apply only to new orders placed after the modification; they do not change pricing for orders already accepted or for active Plan subscriptions during their Initial Term, which remain governed by the Rate Lock subsection above.
E-commerce Platform Services (Revenue-Share Clients)
Revenue Sharing: For revenue-share clients, fees are calculated as a percentage of gross transaction volume as specified in your Service Agreement and are due monthly.
Payment Processing: Revenue-share clients are responsible for establishing and maintaining direct relationships with payment processors. We do not process customer payments on your behalf.
Late Payments: Overdue amounts may incur a late fee of 1.5% per month (or the maximum allowed by law, if less). We may suspend Services for accounts more than 30 days overdue.
Sales Tax
Connecticut Sales Tax: For customers with a Connecticut billing address, applicable Connecticut sales tax (currently 6.35%) will be added to all fees as required by Connecticut law.
Other Jurisdictions: We may collect sales tax, use tax, VAT, or other applicable taxes in other jurisdictions as required by law.
5Intellectual Property Rights
Our IP: We retain all rights, title, and interest in and to the Platform, Services, and our proprietary technology, including all code, software, templates, and infrastructure. No license or rights are granted to you except as expressly set forth herein.
Your Business Content: You retain full ownership of your business content, including business information, photos, descriptions, and any other materials you provide for your website. You grant us a limited, non-exclusive license to host, display, and use your content solely to provide the Services to you.
Done-For-You Website License: For Done-For-You Website Services, you receive a license to use your website during your active Plan subscription. You retain ownership of your business content (text, images, descriptions, and branding elements you provide) at all times. The custom design, layout, and code we create remains our intellectual property and is licensed to you for use only during your active subscription. You acknowledge and agree that:
- The website code and components are designed to function within the Mirin Platform and may not function outside of our system
- We retain ownership of all design, layouts, code, frameworks, templates, reusable design patterns, and technical infrastructure
- We may reuse non-customer-specific design patterns, code structures, layouts, and methodologies in future projects for other customers
- Your business content (text, images, logo, photos, descriptions) remains your property at all times and may be exported by you for use elsewhere
- Upon cancellation or non-renewal, your license to the custom design and code ends, but your business content remains yours
Portfolio Rights: You grant us the right to display your completed website in our portfolio, marketing materials, and case studies. We may identify you as a customer unless you notify us in writing that you prefer to remain anonymous.
Custom Components: You retain ownership of your business content within Custom Components you upload. However, you grant us a perpetual, irrevocable, worldwide license to use, modify, and distribute the code and functional aspects of any Custom Components. We may make the code/functionality available to other customers or incorporate it into our Services, but we will not share your specific business content (text, images, branding).
Feedback: Any suggestions, feedback, or improvements you provide regarding our Services may be used by us without compensation or attribution.
Third-Party Content: You are responsible for ensuring you have the right to use any third-party content (stock photos, fonts, etc.) included on your website and that such use does not infringe on any third-party intellectual property rights.
6Customer-Uploaded Code and Third-Party Integrations
IMPORTANT: You are solely responsible for all code, components, scripts, and third-party integrations you upload to or integrate with our Platform.
No Code Review: We do not review, audit, validate, or scan customer-uploaded code for security vulnerabilities, malware, or compliance with any standards. Custom Components are uploaded and executed at your own risk.
Third-Party Services: If you integrate third-party services (such as analytics tools, tracking pixels, payment processors, or other APIs) into your website through Custom Components, you are responsible for:
- Compliance with those third parties' terms of service and privacy policies
- Ensuring any data sharing complies with applicable privacy laws
- Disclosing such integrations to your website visitors as required by law
- Any fees, liabilities, or obligations arising from those integrations
Prohibited Code: You may not upload code that:
- Contains malware, viruses, or other malicious software
- Attempts to access our systems or other customers' data
- Mines cryptocurrency or performs unauthorized computations
- Violates any applicable law or third-party rights
- Could harm our infrastructure, other customers, or website visitors
Removal Rights: We reserve the right to remove any Custom Components that we reasonably believe violate these Terms or pose a security risk, without prior notice.
7Prohibited Uses
You may not use our Services to:
- Violate any applicable law or regulation
- Infringe upon or violate the intellectual property or privacy rights of others
- Transmit malicious code, viruses, or other harmful materials
- Attempt to gain unauthorized access to our systems or other user accounts
- Interfere with or disrupt our Services or servers
- Use our Services for any fraudulent or deceptive purpose
- Resell our Services without our written consent
- Reverse engineer, decompile, or disassemble our Platform
- Collect or harvest personal data without appropriate consent
- Send spam or unsolicited communications using lead data
8Hosting and Custom Domains
Subscription Activation: Upon subscribing, your website will be activated on a mymirin.com subdomain of your choice (subject to availability). You will gain access to your account dashboard to manage your subscription and domain settings.
Custom Domain Connection: You may connect a custom domain to your website at no additional charge. You are responsible for:
- Purchasing and maintaining registration of your custom domain through a domain registrar
- Configuring DNS settings to point your domain to our servers (documentation provided)
- Ensuring your domain remains active and renewed
Website Hosting: Your subscription includes hosting on our shared infrastructure. We do not guarantee specific bandwidth, storage limits, or uptime SLAs for subscription websites. We reserve the right to impose reasonable usage limits to maintain service quality for all customers.
9Service Delivery and Subscription
This section applies to Done-For-You Website Services.
Preview
Order Process: To start, you order a Preview by paying the Preview Fee and providing information about your business through our intake form.
Preview Delivery: We design a custom homepage for your business and deliver it to you by email within 24 hours of receiving your completed intake.
Async Delivery: All communications happen asynchronously over email. Calls are not part of the Preview process.
Preview Outcome: After receiving your Preview, you may (a) subscribe to a Plan to proceed with full website design, or (b) decline to proceed. The preview design is yours to keep in either case. Declining to proceed does not forfeit the Preview Fee: it remains subject to the Preview Satisfaction Guarantee and Delivery SLA in this Section.
Plan Subscription
Subscription Initiation: To proceed from Preview to a full website, you subscribe to a Plan (Professional or Premium) by completing checkout. Plan subscription begins your 12-month Initial Term as described in Section 4.
Preview Credit: The Preview Fee is credited toward your first month's Plan Fee.
Plan Selection: The Professional Plan is our standard offering for most businesses. The Premium Plan is for clients with more involved needs (custom integrations, additional pages, ongoing strategy support) and requires our scoping before purchase. Both Plans are subject to the 12-month Initial Term.
Build Phase
Site Build: Following Plan subscription, we build your full website based on the approved Preview design and any additional information you provide.
Build Timeline: Most websites are launched within 3 business days of Plan subscription. More complex builds with bookings, e-commerce integrations, or custom functionality may take up to 10 business days.
No Guaranteed Delivery Date: While we make every effort to meet our target timelines, we do not guarantee specific delivery dates. Delays do not entitle you to release from your Initial Term commitment or to any refund.
Build Revisions: Up to three (3) rounds of revisions are included during the build phase to refine the site. A "revision round" consists of all change requests submitted together in a single communication. Additional revisions or scope changes beyond the original Plan may incur additional fees.
Async Communication: All communications during the build phase happen asynchronously over email.
Plan Upgrades and Downgrades
Upgrade Path: If your needs grow during your subscription, you may request an upgrade from Professional to Premium. Premium upgrades require us to scope the additional work before activation and may involve additional fees.
No Self-Serve Plan Switching: Premium is not self-serve. Plan switching requires direct communication with our team and our written confirmation.
Initial Term Continuation: A Plan upgrade does not reset or shorten your existing 12-month Initial Term. The Initial Term continues from your original Plan subscription start date.
Ongoing Service and Additional Services
Self-Serve Edits (Included): Your Plan Fee includes unrestricted access to the Mirin page builder, which you may use to edit copy, swap images, update business information, reorder sections, and make other content changes to your published site at any time. These self-serve edits are not subject to Additional Services fees.
À La Carte Work: Work outside what you can accomplish in the page builder, including new custom-designed pages, custom section design, third-party integration setup, custom form logic, theme or style refreshes, full homepage redesigns, domain migrations, and photo direction, is available at the prices published on the À La Carte Menu at mirin.com/pricing. You may request À La Carte work at any time during your Plan. Each request is performed only after you have approved the Estimate.
Hourly Work: Requests that do not fit the À La Carte Menu may be performed at the Hourly Rate, billed in one-hour minimum increments with thirty (30) minute increments thereafter. Hourly Work is performed only after you have approved the Estimate, which includes a not-to-exceed hour cap. Work performed beyond the approved cap requires a fresh Estimate and your fresh approval.
Estimate-First Rule: No Additional Services work begins until you have approved the Estimate in writing (email reply or in-product confirmation both qualify). Estimates expire automatically fourteen (14) days after issuance if not approved. Expired Estimates may be re-issued on request, subject to current pricing.
Right to Decline: We may decline any request for Additional Services that falls outside our standard scope, exceeds our current capacity, or that we determine in good faith we cannot deliver to our quality standard. In such cases we will provide a referral where reasonably possible.
Premium Plan: Premium Plan customers may have additional Additional Services allowances or priority access as scoped in their Plan agreement. Where Premium Plan terms conflict with this subsection, the Premium Plan agreement controls.
What Is Not Included: Brand strategy, logo design, photography production, video production, copywriting beyond what is included in the original Plan or an approved À La Carte item, and ongoing marketing services are not part of our Additional Services offering. We will refer such requests to specialist providers where reasonably possible.
10Cancellation and Data Retention
Cancellation by You During Initial Term: During your 12-month Initial Term, you are committed to pay all 12 monthly installments of your Plan fee. You may not cancel your Plan subscription during the Initial Term, and you remain responsible for the remaining Plan fees regardless of whether you continue to use the Service. Failure to maintain payment does not release you from this commitment.
Cancellation by You After Initial Term: After your 12-month Initial Term ends, your subscription continues on a month-to-month basis at the then-current Plan rate. You may cancel at any time through your account dashboard. Cancellation is effective at the end of your current billing period.
Preview: The Preview is a one-time service. There is no ongoing subscription to cancel for the Preview itself. The Preview Fee is refundable only as set out in the Preview Satisfaction Guarantee and Delivery SLA in Section 9 (Service Delivery).
Effect of Cancellation:
- Your website (subdomain and custom domain) will be deactivated at the end of your billing period
- Your account and data will be retained for 90 days to allow reactivation
- During this 90-day period, you may resubscribe to restore your website
- After 90 days of inactivity, your account and all associated data (including lead data) will be permanently deleted
Data Deletion Requests: If you request deletion of your account and data before the 90-day retention period, we will process your request within 15 days. Deleted data may persist in encrypted backups for up to 15 additional days before being automatically purged.
Payment Failure During Initial Term: If a Plan payment fails during your Initial Term, your website will be immediately unpublished. Failed payment does not release you from your Initial Term commitment, and we reserve the right to pursue collection of unpaid amounts. Your account and content will be preserved while we attempt to collect payment. If payment is not resolved within 30 days, we may terminate your account; you remain liable for the remaining Initial Term fees.
Termination by Us: We may terminate this Agreement immediately for material breach, non-payment, or violation of these Terms. We may also terminate with 30 days' notice without cause, in which case any remaining Initial Term obligations are released.
11Disclaimers and Warranties
EXCEPT FOR THE EXPRESS LIMITED WARRANTY PROVIDED FOR DONE-FOR-YOU WEBSITE SERVICES BELOW IN THIS SECTION, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Done-For-You Website Services Limited Warranty
For Done-For-You Website Services, we warrant that:
- We will use reasonable professional skill and care in creating your website
- The delivered website will substantially conform to the description of your selected Plan
- Up to three (3) rounds of revisions during the build phase are available as your remedy for design issues, as described in Section 9
This limited warranty does not cover issues arising from content you provide, third-party services, or modifications made after delivery.

YOU ARE SOLELY RESPONSIBLE FOR:
- Your business operations and professional practices
- The quality and safety of services you provide to your customers
- Obtaining appropriate business and professional liability insurance
- Compliance with all applicable laws, regulations, and licensing requirements
- All content and representations made on your website
- Accuracy of information you provide during the intake process
- All code and third-party integrations you upload to the Platform
We do not warrant that:
- The Services will meet your specific business requirements or revenue expectations
- The Services will be uninterrupted, timely, secure, or error-free
- Any errors in the Services will be corrected within a specific timeframe
- Custom Components you upload will function correctly or securely
- Your website will generate leads, customers, or revenue
12Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: IN NO EVENT SHALL TREKEFFECT INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Liability Cap for Subscription and E-commerce Services:
FOR SUBSCRIPTION WEBSITE SERVICES AND E-COMMERCE PLATFORM SERVICES, OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO US IN THE TWO (2) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Liability Cap for Done-For-You Website Services:
FOR DONE-FOR-YOU WEBSITE SERVICES (CUSTOM PREVIEW PLUS PLAN SUBSCRIPTION), OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE TWO (2) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WHERE NO PLAN SUBSCRIPTION HAS BEEN PURCHASED AND THE CLAIM RELATES SOLELY TO THE PREVIEW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE PREVIEW FEE YOU PAID.
These limitations apply regardless of whether the liability is based on contract, tort, strict liability, or any other legal theory. Your exclusive remedy for design issues with Done-For-You Website Services is the build-phase revision process described in Section 9.
13Indemnification
Your Indemnification Obligations: You agree to defend, indemnify, and hold harmless Trekeffect Incorporated doing business as Mirin and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your Customer Data, business content, or business practices
- Custom Components, code, scripts, or third-party integrations you upload, including any security vulnerabilities, data breaches, privacy violations, malware, or harm to website visitors arising therefrom
- Content, text, images, or materials you provide for your website (including for Done-For-You Website Services)
- Your professional services, work product, or business operations
- Claims by your customers or third parties related to services you provided to them
- Your failure to obtain or maintain proper licensing, permits, or insurance
- Your infringement of any intellectual property or privacy rights of others
- Lead data you collect and your use of such data
- Your violation of any applicable laws or regulations
Clarification for Done-For-You Website Services: For Done-For-You Website Services, we are responsible for the code and design elements we create. You are responsible for the accuracy, legality, and appropriateness of all content, text, images, trademarks, and business information you provide to us during the intake process or otherwise. If a claim arises from content you provided, you are responsible for indemnifying us. If a claim arises solely from a defect in the code or design we created (and not from content you provided), we will not seek indemnification from you for that specific claim.
We will provide you with reasonable notice of any such claim and cooperate with you in the defense thereof.
14Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions.
Jurisdiction: Any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in the state or federal courts located in Connecticut, and you hereby consent to the personal jurisdiction and venue therein.
Dispute Resolution Process:
- Direct Communication: Contact our legal team first to attempt resolution
- Mediation: If direct communication fails, disputes shall be submitted to binding mediation
- Litigation: Only if mediation fails may either party pursue litigation in the courts specified above
15General Provisions
Entire Agreement: These Terms constitute the entire agreement between you and Trekeffect Incorporated doing business as Mirin regarding the Services and supersede all prior agreements and understandings.
Modifications: We may update these Terms from time to time. We will provide notice of material changes by email or through the Services. Continued use of the Services constitutes acceptance of the modified Terms.
Prior Versions: Customers who purchased Services under prior versions of these Terms are bound by the version of the Terms in effect at the time of their purchase, except as expressly modified by mutual written agreement. Modifications to these Terms apply prospectively to new purchases unless otherwise required by law.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Assignment: You may not assign or transfer these Terms without our written consent. We may freely assign these Terms.
Force Majeure: Neither party shall be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, government actions, or telecommunications failures.
Electronic Communications: You consent to receive communications from us electronically, and such communications satisfy any legal requirement that communications be in writing.
